Scope

DTS Web Development agrees to perform only the services as indicated in writing, for the fee agreed upon by both parties. All assignments shall be quoted on a case-by-case basis, and invoiced individually.

Billing

DTS Web Development will invoice the Client upon delivery of each finished project unless a bi-weekly or monthly billing cycle is established. Payment is due upon receipt of invoice for each translation project and no later than thirty (30) days thereafter.

In-person Interpretation Requests

For live (in-person) interpretation assignments, client agrees that interpretation shall be scheduled for a minimum of two hours for each date services are rendered, which consists of one (1) hour travel time, and a minimum of one (1) hour interpretation. Should the Client require additional interpretation or services, DTS Web Development shall bill the Client for one (1) full hour at the established per-hour rate per each subsequent hour of service. Partial hours shall be billed as full hours. When necessary, DTS Web Development shall appoint a court-certified interpreter for civil and criminal trials, administrative hearings, depositions, mediations and arbitrations.

Rush Fees

For projects deemed to be “rush” status, a 20% surcharge will be added to the total due. Client will be informed prior to beginning any work if the project is considered to be a rush assignment.

Certified/Notarized Documents

All certified (legalized) translations, unless requested otherwise, bear DTS Web Development’ certification seal. If requested, and for a $15.00 fee per instance, DTS Web Development will have translations notarized by a bilingual notary of the State of Texas.

Duplicate Copies of Certified Documents

The Client is free to reproduce as many copies of finished translation/transcription projects as needed. In the event that the Client requires an additional original with DTS Web Development’ certification seal, DTS Web Development shall provide said document(s) at a rate of $25.00 per full document.

Additional Fees

Additional fees will be payable, to be calculated as provided below, in the event the following additional services are required:

• investigation, inquiry, or research beyond that normal to a routine translation is required because of ambiguities in the item(s) to be translated;
• additional services are required because Client makes changes in the item(s) to be translated after the signing of this Agreement;
• and DTS Web Development is requested to make changes in the translation after delivery of the translation, because of Client's preferences as to style or vocabulary, and such changes are not required for accuracy. Such additional fees will be calculated as follows:
  • $50.00 per hour of specialized research and glossary development;
  • $40.00 per hour of translation revision based on changes made by Client after initial translation has been completed, plus any applicable per-word fees for additional translation of the new material;
  • $50.00 per hour of community review, per participant.

Additional Costs

Client shall reimburse DTS Web Development for necessary out-of-pocket expenses incurred by DTS Web Development that are not a normal part of routine translation or interpretation procedure, such as overnight document delivery service requested by Client, long distance telephone and telefax expenses to clarify document ambiguity, interpreter travel fees, interpreter parking frees, etc.

Secured Payments

In the event that the cost of Client’s translation project totals more than $2,500.00, the Client agrees to secure his/her payment prior to services rendered with a valid credit card number and expiration date.

Payment by Credit Card

Clients paying for translation services via credit card authorize DTS Web Development to apply the balance due to their credit card in accordance with the payment terms of this contract.

Cancellation or Withdrawal by Client

If Client cancels or withdraws any portion of services as arranged by signed quote prior to DTS Web Development' completion of the service(s), then, in consideration of DTS Web Development' scheduling and/or performing said service(s) Client shall pay DTS Web Development the portion of the quoted fee represented by the percentage of total service(s) performed, but in any event not less than 50% of said fee.

Client's Review of Translation/Transcription

Upon receipt of the translation/transcription from DTS Web Development, Client shall promptly review it, and within 30 days after receipt shall notify DTS Web Development of any requested corrections or changes. DTS Web Development shall correct, at no cost to Client, any errors made by DTS Web Development.

Confidentiality

All knowledge and information expressly identified by Client in writing as confidential which DTS Web Development acquires during the term of this Agreement regarding the business and products of Client shall be maintained in confidentiality by DTS Web Development and, except as expressly authorized by Client in writing, shall not be divulged or published by DTS Web Development and shall not be authorized by DTS Web Development to be divulged or published by others. Confidential information for purposes of this paragraph shall not include the following:

Information which is or becomes available to the general public, provided the disclosure of such information did not result from a breach by DTS Web Development of this paragraph.

Terminological glossary entries compiled by DTS Web Development in the course of DTS Web Development's performance of the translation service(s) under this Agreement; provided, however, that Client and DTS Web Development may agree in writing that, upon payment by Client to DTS Web Development of an agreed-upon fee, such terminological glossary entries shall be the property of Client and shall be covered by the confidentiality provisions of this paragraph.

Translation Is Property Of Client, Copyright

Upon Client's completion of all payments provided herein, the translation of the items and material by DTS Web Development shall be the property of Client. DTS Web Development has no obligation to take any steps to protect any copyright, trademark or other right of Client with respect to the translation, except as may be expressly otherwise provided in this Agreement. Notwithstanding the foregoing, DTS Web Development shall have the right to retain file copies of the item(s) to be translated and of the translation.

Changes by Others

DTS Web Development shall have no responsibility whatsoever as to any changes in the translation made by persons other than DTS Web Development.

Force Majeure

DTS Web Development shall not be responsible for any delays in performance of this agreement due to strikes, riots, acts of God, unavailability of translators, war, governmental laws or regulations. If a delay occurs, DTS Web Development will make a good faith effort to reschedule the service.

Indemnification and Hold-Harmless By Client

Client agrees to indemnify and hold DTS Web Development harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorneys' fees) which DTS Web Development may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by Client for use by DTS Web Development in the work performed under this Agreement.

Refund Policy

The Client understands and agrees that all sales with regard to translation, interpretation, and/or transcription services are final.
